TERMS AND CONDITIONS OF SALE & SERVICE

Effective Date: 1/1/2022

These Terms and Conditions of Sale & Service (“Terms”) govern all sales, services, equipment purchases, leasing arrangements, financing approvals, website use, and communications provided by AeroX Industries, LLC (“AeroX,” “Company,” “we,” “our,” or “us”).

By placing an order, submitting payment, signing a quotation, accepting delivery, leasing equipment, or using our products or services, you agree to be bound by these Terms in full.

If you do not agree, do not proceed with purchase or use.


1. Commercial Use Acknowledgment

All AeroX equipment is sold for commercial and industrial use only.

Customer acknowledges:

• Equipment requires professional operation
• Proper training is required
• Customer is responsible for regulatory compliance
• Customer is responsible for safe installation and operation
• Purchase is for business purposes, not consumer household use


2. Payment Terms

Full payment is required prior to shipment or release of equipment unless otherwise agreed in writing.

Many AeroX products are:

• Custom-configured
• Built-to-order
• Assembled per customer specification
• Sourced specifically for each order

Because of this, orders are considered binding once payment or deposit is received.

At AeroX’s sole discretion, a deposit may be accepted to initiate production. Deposits may be non-refundable once materials are ordered or production begins.

Failure to complete payment may result in order cancellation and forfeiture of deposit.


Financing & Leasing Disclosure

If financing is approved — whether through AeroX or a third-party lender — equipment will not ship until:

• All financing agreements are signed
• All supporting documentation is completed
• Funding confirmation is received

Important Disclosure:

Financing terms begin based on lender approval and funding schedule — not delivery date.

In certain cases, particularly with custom or out-of-stock equipment, loan payments may begin while equipment is still:

• In production
• Awaiting parts
• In assembly
• In transit

Worst-case example:
If equipment requires 8–10 weeks for production and freight, customer may make one or more loan payments before physical delivery.

Customer acknowledges and accepts this possibility.

AeroX does not control lender billing schedules.

Leasing programs, if offered, are governed by separate lease agreements.


3. Shipping, Production & Delivery

In-Stock Equipment

In-stock items typically ship within 7–14 business days.

Freight items may require 7–20 business days depending on carrier availability and destination.

All timelines are estimates only and not guaranteed.


Out-of-Stock & Custom Equipment

Delivery timelines may be extended 6-10 weeks due to:

• Component shortages
• Motor or electrical control backorders
• Hydraulic part delays
• Supplier production slowdowns
• International shipping congestion
• Customs inspections
• Port delays
• Freight carrier scheduling
• Labor strikes
• Fuel shortages
• Natural disasters
• Weather events
• Government restrictions
• Regulatory changes
• Global supply chain disruptions

These examples are not exhaustive.

AeroX is not liable for delays beyond reasonable control.


Testing & Quality Control

All equipment undergoes extensive pre-shipment testing including:

• Mechanical inspection
• Electrical testing
• Operational run cycles
• Safety verification
• Pressure validation
• Functional testing

Testing may extend shipping timelines but is performed to reduce field failures.


Communication Commitment

AeroX will:

• Provide updates
• Communicate expected delivery windows
• Notify customers of delays
• Provide tracking when available

We strive to deliver equipment as quickly as possible.


4. Title & Risk of Loss

All shipments are FOB shipping point unless otherwise agreed in writing.

Title and risk of loss transfer to customer upon delivery to carrier.

AeroX is not responsible for freight damage once shipment leaves our facility.


Freight Damage Procedure

Customer must inspect shipment immediately upon delivery.

If significant damage is visible:

Do not accept delivery. Refuse shipment and notify AeroX immediately.

If concealed damage is discovered:

• Notify AeroX within 24 hours
• Document damage with photos and video
• Retain packaging
• File claim directly with carrier

Failure to report within 24 hours may void freight claims.


5. All Sales Final

All equipment sales are final.

Orders are non-refundable due to custom manufacturing and industrial nature of products.

Deposits may be non-refundable once production or sourcing begins.


6. Warranty

Unless otherwise stated in writing, AeroX provides a one (1) year limited warranty covering defects in materials and workmanship under normal use.

Warranty does not cover:

• Wear components
• Consumables
• Improper air supply
• Electrical misconfiguration
• Improper installation
• Negligence
• Unauthorized modification
• Failure to maintain
• Third-party components

Customer is responsible for freight costs related to warranty service unless otherwise agreed.

All returns require an approved RMA number.


7. Downtime & Lost Revenue Disclaimer

AeroX shall not be liable for:

• Equipment downtime
• Production delays
• Lost wages
• Lost profits
• Business interruption
• Lost contracts
• Consequential damages

Industrial equipment requires maintenance and may experience service interruptions.

Customer assumes all operational risk.


8. Equipment Use & Injury Disclaimer

Industrial equipment involves inherent risks.

By purchasing or operating AeroX equipment, customer agrees:

• To operate equipment safely
• To use proper PPE
• To train all operators
• To comply with OSHA and applicable regulations
• To exercise professional judgment

AeroX is not responsible for:

• Injury during operation
• Damage from misuse
• Improper installation
• Failure to follow instructions

Customer accepts full responsibility for safe operation.


9. Limitation of Liability

To the fullest extent permitted by law:

AeroX’s total liability shall not exceed the purchase price of the equipment.

AeroX shall not be liable for indirect, incidental, punitive, or consequential damages.


10. Indemnification

Customer agrees to indemnify and hold harmless AeroX Industries, LLC, its owners, employees, and affiliates from any claims arising from:

• Equipment operation
• Improper installation
• Third-party injury
• Property damage
• Regulatory violations


11. Chargebacks & Payment Disputes

Customer agrees not to initiate chargebacks without first attempting resolution.

Improper chargebacks may result in:

• Legal action
• Collection proceedings
• Recovery of attorney’s fees


12. Force Majeure

AeroX is not liable for delays caused by events beyond reasonable control including:

• Supply chain disruptions
• Natural disasters
• Government actions
• Labor disputes
• Freight interruptions


13. Privacy Policy

14. SMS Communications

By providing your phone number, you consent to receive SMS communications regarding orders, service, and account updates.

15. Governing Law & Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania.

All disputes shall be resolved exclusively in Pennsylvania courts.
